Keeping an LLC current

Illinois LLC annual report

The annual filing, what happens if you miss it, and how to reinstate or close an LLC.

When and how to file

The annual report, Form LLC-50.1, costs $75. It is due before the first day of your LLC’s anniversary month. File during the 60-day window before that date, online with the Illinois Secretary of State.

If you miss the report

The late penalty is set by statute and cannot be waived. If you do not file, the Secretary of State can administratively dissolve the LLC.

  • The LLC loses good standing.
  • It may lose liability protection for new activity.
  • It may lose exclusive use of its name.

Reinstating a dissolved LLC

File Form LLC-35.40/45.65 with every delinquent annual report. The application fee is $200, plus $75 for each missed annual report, plus penalties. Online reinstatement is available through the Secretary of State.

Find the report, reinstatement, and termination forms on the official LLC forms page.

Voluntarily closing the LLC

File Form LLC-35.15, Statement of Termination, for $5. Also close Illinois Department of Revenue and IDES accounts, file final tax returns, and cancel licenses.
