Step by step

How to start an LLC in Illinois

Seven steps for a single-member LLC, in order.
  1. Check the name. Search free in the Secretary of State business entity search. The name must contain "LLC" or "limited liability company".
  2. Choose a registered agent. The agent needs an Illinois street address. You may serve as your own.
  3. File Articles of Organization (Form LLC-5.5). $150, online or by mail. Standard processing is about 10 business days; expedited review is $100 extra and takes about 24 hours. Forms are on the Secretary of State LLC page.
  4. Get an EIN. It's free from the IRS.
  5. Sign a single-member operating agreement. It isn't filed with the state, but banks ask for it and it supports the liability separation between you and the LLC.
  6. Open a business bank account. Keep business and personal money separate from day one.
  7. Calendar the annual report. $75, due before the first day of your anniversary month, and you can file in the 60-day window before that. Missing it brings a penalty that cannot be waived and can lead to administrative dissolution. Annual report, late filing, and reinstatement details.

Converting from a sole proprietorship

There is no conversion filing for a sole proprietorship. You form a new LLC, then move your bank accounts, contracts, and other business items into the LLC's name.

Forming in Wyoming or Delaware

It doesn't avoid Illinois. An Illinois resident doing business here must also register the out-of-state LLC in Illinois as a foreign LLC, for $150. You end up paying both states.
